Constitution of the Saskatoon Cardinals Baseball Association
Article I: Name and Affiliation
1.1: The name of this organization shall be the Saskatoon Cardinals Baseball Association, hereinafter referred to as “the Association.”
1.2: The Association shall operate under the guidance and rules of the Saskatoon Baseball Council Inc., the Saskatchewan Baseball Association and the Canadian Federation of Amateur Baseball.
1.3: This Association is affiliated with:
i. The Saskatoon Rally Cap Baseball Division
ii. The Saskatoon 11U Baseball Division
iii. The Saskatoon 13U Baseball Division
iv. The Saskatoon 15U Baseball Division
v. The Saskatoon 18U Baseball Division
Article 2: Jurisdiction:
2.1 The Association shall have jurisdiction over the area of the city of Saskatoon as designated by the Leagues and/or the Saskatoon Baseball Council
Article 3: Purpose
3.1: The primary purpose of the Association is to promote, develop, and facilitate youth baseball in Saskatoon, Saskatchewan.
3.2: The Association shall aim to provide a safe and enjoyable environment for players to learn, compete, and grow as individuals and athletes.
3.3: To stress values, appreciation and skills involved in baseball.
Article 4: Membership
4.1 Membership is open to all parents and players aged 18 and over who are residents within the Association’s boundaries.
4.2 Membership is also open to those residents residing elsewhere but who have a player playing with the designated zone with the full approval of the Leagues in question and/or the Saskatoon Baseball Council Inc..
4.3 The executive shall be members of this organization and have terms of two (2) years.
4.4 All members of the Executive shall be entitled to vote at any annual, general or special meeting.
4.5 No one shall be represented by proxy or carry more than one vote.
Article 5: Changes in rules and regulations
This organization at any annual, special, general, or executive meeting may adopt, amend, revise or repeal rules or regulations for the government of this organization by a two-thirds majority vote of those present.
Article 6: Board of Directors
6.1: The Association shall be governed by an Executive, which shall consist of the following:
President
Past President
Secretary
Treasurer
Registrar
Fundraising Coordinator
Equipment / Uniform Manager (can be separate positions)
Jr. Rally Cap Coordinator
Sr. Rally Cap Coordinator
11U Coordinator
13U Coordinator
15U & 18U Coordinator
Coach Coordinator
Website Coordinator
Social Media Coordinator
Up to 3 Members at Large may be appointed by the executive. These members will have full voting rights.
6.2: The Executive shall serve two-year terms and be elected by the members at the Annual General Meeting (AGM). If when a 2 year term is up and no executive member wishes to run for that position, the incumbent will have the choice of continuing in that position.
6.3: A vacancy on the executive shall be filled by appointment by the Zone President after approval has been obtained by the executive.
6.4: Requirements for holding positions on the board:
President: Must have served on the board for at least 2 years
Past President: Must have been President previously
Secretary: Must have qualifications for the position
Treasurer: Must have qualifications for the position
Registrar: Must have qualifications for the position
Fundraising Coordinator: Must have qualifications for the position
Equipment / Uniform Manager: Must have qualifications for the position
Jr. Rally Cap Coordinator: Must have qualifications for the position
Sr. Rally Cap Coordinator: Must have qualifications for the position
11U Coordinator: Must have qualifications for the position
13U Coordinator: Must have qualifications for the position
15U & 18U Coordinator: Must have qualifications for the position
Coach Coordinator: Must have qualifications for the position
Website Coordinator: Must have qualifications for the position. (Be familiar with WordPress)
Social Media Coordinator: Must have qualifications for the position
Note: Qualifications for positions will be determined by the applicant stating why they would be qualified for the position and a majority agreement from the Executive.
6.5: Board meetings shall be held regularly to manage the affairs of the Association, and decisions shall be made by a majority vote.
Article 7: Duties of Executive
7.1: President: The President shall preside over meetings, represent the Association, and provide leadership.
7.2: Past President: The Past President shall assist the President and assume their duties when necessary.
7.3: Secretary: The Secretary shall maintain records, handle correspondence, and maintain membership records.
7.4: Treasurer:
The Treasurer shall be responsible for financial records, budgets, and financial transactions.
7.5: Registrar:
a) To be responsible for all team and player registration and to ensure all deadlines for the registration of players and the registration of teams are met.
b) To carry out duties relative to his or her office.
c) To incur discretionary expense as deemed necessary for proper execution of office.
7.6: Equipment and or Uniform Managers
a) To be in charge of all equipment of teams sponsored by the Association.
b) To purchase equipment and uniforms for teams sponsored by the Association.
7.7: Fundraising Coordinator
Create and implement comprehensive fundraising strategies and plans to achieve the Association’s financial goals.
7.8: Coach Coordinator
- Evaluate candidates’ qualifications, experience, and suitability for the coaching positions.
- Provide training and development opportunities for coaches.
- Assist division coordinators in coach selection process
- Handle disputes and concerns in a fair and constructive manner.
- Primary goal is to ensure the smooth and effective operation of coaching programs, leading to the development and success of athletes.
7.9: Website and/or Social Media Coordinator
- Creating and updating website content, including text, images, videos, and other multimedia elements.
- Ensuring that content is accurate and up-to-date.
7.10: Division Coordinators
- Organize Evaluation Schedules
- Find qualified coaches for each skill level with assistance from the Coach Coordinator
- Team formations: ensure teams are formed fairly and evenly.
- Responsible for communicating important information to the players, coaches, and parents in their age group. This may involve sending out schedules, rule updates, and other relevant information.
- Ensuring that all teams and players in their age group are aware of and follow the league’s rules and regulations. This might also involve interpreting rules and resolving disputes.
- Work with Saskatoon Baseball Council division coordinators on upcoming tournaments and playoffs
7.11: Members at Large
- To attend zone meetings and be an active member of the executive.
- To aid and participate with duties of Special Events, Uniforms, Equipment, and/or Coordinators as needed.
- To carry out duties as is delegated to him or her by the executive.
Article 8: Meetings
8.1: An Annual General Meeting (AGM) shall be held each year, no later than October 31st, to review the Association’s activities and elect officers.
8.2: Executive meetings shall be held every month or less during the baseball season. Executive meetings may be held in person or on a web-based communication platform. Executive members must be present to be considered in attendance.
Article VII: Amendments
Section 1: This constitution may be amended by a two-thirds majority vote at any meeting where proposed amendments are on the agenda.
Article VIII: Dissolution
Section 1: In the event of dissolution, any remaining assets shall be distributed to a charitable organization with similar aims, as determined by a majority vote at a special meeting called for that purpose.
Article IX: Bylaws
Section 1: The Board of Directors may establish bylaws to govern specific operational aspects of the Association.
